HumbleLead Provider Agreement

Effective Date: June 2026

1. Independent Business Relationship

Providers registering with HumbleLead acknowledge that they operate as independent businesses and are not employees, contractors, agents, representatives, partners, or affiliates of HumbleLead.

HumbleLead operates solely as a technology platform connecting customers with local service providers.

2. No Guarantee of Leads or Revenue

Provider membership on HumbleLead does not guarantee:

Lead volume
Customer contact frequency
Customer conversion
Business revenue
Job acceptance rates
Customer response rates
Market demand in a provider’s service area

Lead availability depends on customer demand, service category demand, geographic location, platform growth, provider competition, and routing logic.

HumbleLead makes no guarantee regarding business performance or income generation.

3. Subscription Fees

Provider subscription fees grant access to the HumbleLead platform and related provider tools.

Subscription payments do not purchase guaranteed leads, guaranteed customers, guaranteed jobs, or guaranteed revenue.

Unless required by law, subscription payments may be non-refundable.

4. Provider Responsibilities

Providers are solely responsible for maintaining compliance with all applicable laws and regulations.

This includes responsibility for:

Business licenses
Trade licenses
Insurance coverage
Permits
Tax reporting
Professional certifications
Local business compliance
Accurate profile information

5. Customer Communication

Providers are responsible for all communication with customers after receiving a lead.

HumbleLead does not negotiate pricing, scheduling, service agreements, payment collection, or dispute resolution between providers and customers.

6. Account Review and Approval

HumbleLead reserves the right to review, approve, deny, suspend, or remove provider accounts at its sole discretion.

Submitting business credentials or documentation does not guarantee account approval.

7. Provider Conduct Standards

Providers agree to maintain professional conduct when interacting with customers referred through HumbleLead.

HumbleLead reserves the right to restrict access or remove providers engaging in:

Harassment
Fraudulent activity
Repeated lead non-response
Misrepresentation of credentials
Abusive customer behavior
Repeated service refusal without cause

8. Intellectual Property

Providers acknowledge that the HumbleLead platform, branding, software systems, provider routing technology, website structure, AI systems, and associated technology remain the exclusive property of HumbleLead.

Providers may not copy, reproduce, scrape, reverse engineer, duplicate, or commercially replicate any part of the HumbleLead platform.

9. Platform Changes

HumbleLead may modify pricing, subscription structure, platform features, provider visibility systems, routing systems, or provider requirements at any time.

10. Acceptance of Agreement

By registering as a provider, submitting credentials, subscribing to HumbleLead, or continuing use of the provider platform, providers acknowledge and agree to this Provider Agreement.
